Bylaws

§1 Name of the Association
The Association bears the name „European Missouri FoxTrotting Horse Association e.V.".

The association is registered with the official register of associations. The official head quarter shall be in Berlin. The business year corresponds with the calendar year.
§2 Non-Profitability
The Association uniquely has non-profit activities in accordance with tax-privileged activities as defined in the German law. The Association is not pursuing profitable activities. Financial and other means of the association are to be used exclusively in accordance with the rules. Members will not get financial support from the association. It is not allowed to abuse financial means of the association by spending in discordance with the rules.
§3 Duties
It is the intention of the association to promote sport, breeding and education of horses, particularly of Missouri Fox Trotting Horses. Port shall be promoted by offering of training lessons, by organizing of pleasure and trail rides, and by managing shows and competitions.
A special trainings offering shall be arranged for children and youth members.

Breeding shall be promoted by establishing a support structure for breeders. A breeding book shall be created and owners shall be supported in caring for their horses.

A special focus lies on riding for challenged persons since the Missouri Fox Trotting Horse ideally fits the requirements. The association is closely linked with the MFTHBA (Missouri Fox Trotting Horse Breeders Association in Ava, MO, USA).

The Association has an interest in all European countries and accepts membership from all European countries whether from a legal entity or a natural person, whoever is willing to promote the breeding of the Missouri Fox Trotter and their use within the equestrian sport community. All European activities connected to the equestrian sport with the Missouri Fox Trotter are combined within the Association; the Association is the European partner of the above-mentioned MFTHBA – Missouri Fox Trotting Horse Breed Association in Ava.

All members including the board of directors are working for the association on a charity basis.

§4 Financial Organisation
a. Income for the association is membership fees, donations, public support money, collections, etc.

b. All members must pay an annual membership fee. This fee will be determined by the general assembly. The board of directors is authorized to grant exceptions in case of an economic inability by a particular member.

c. All financial means must be spent in accordance to the rules as set her in under §2 and §3.
§5 Membership
a. Regular membership is open for natural persons and jurisdictions being involved in breeding or promoting riding with Missouri Fox Trotting Horses.

b. Youth membership is open for children age 7 or older. Youth members have no voting rights.

c. The admission requires a majority of 2/3 of all board positions.

d. Only regular members have voting rights.

e. Membership is valid as of the date of confirmation by the board of directors.

f. Members have to support the association as best as they can. Members have the privilege to use all means of the association.

g. Membership is terminated either by letter of resignation, by exclusion through the board of directors or by death.

h. The letter of resignation must be sent 3 month prior to the termination of the business year and must be addressed to the attention of the board of directors.

i. Exclusion is possible if the member acts against the objectives of the association or causes severe damage. The general assembly will make the final decision about the exclusion. A majority of 2/3 of all represented votes is required.

j. A member will be automatically excluded if the membership fee is past due for more than 12 months. Legal means are allowed to collect outstanding membership fees as well as for interest rates and other expenses in combination with the process.

k. Employees of the association are excluded from a membership.
§6 Organs
Organs of the association are:
a. General assembly

§7 General assembly
a. General assembly is the highest level of the association. The duties of the GA are:

  1. To elect the board of directors
  2. To approve the annual report and the bookkeeping
  3. To debate and approve the budget for the following year
  4. To debate and approve the budget for the following year
  5. To determine the annual membership fee
  6. To decide the exclusion of members

b. Convocation for General Assembly is done by the board of directors with 4 weeks prior notice to the assembly. The correct invitation contains an agenda for the assembly. Days are counted from the first day after mailing the invitation. The invitation will be mailed to the correct address of the member. This address should agree with the last address communicated by the member in writing. The board of directors will set up the item list.

c. An extraordinary General Assembly must organize when either the interest of the association is severely endangered or if a quarter of all regular (voting) members require an extraordinary Assembly in writing. This request must be addressed to the attention of the board of directors.

d. The activities of the general assembly are to be held in writing and this protocol must be signed by the president of the board and the secretary. The secretary of the assembly has to be elected by the members for the duration of the assembly only.

e. The general assembly generally votes openly. A simple majority is enough. If the votes are balanced it is hereby decided that the majority is set to “NO“.

f. The president of the board will be elected in a secret election. One member requiring a secret election for all other board positions has to be granted.

Each member with a voting right can be represented by a subsidiary. The subsidiary must be entitled in writing be the member represented.

g. To change the Terms and conditions and the rules of the association a majority of 2/3 of all votes present in the assembly are required.

h. The Budget has to be discussed and approved among the board of directors by end of the 1st quarter of each year.

i. In change of the legal rule voting and decision making for all members can be made by mail instead of physical assembly. The ballots will be sent by registered mail to every member’s address. Ballots must be returned within 4 weeks of the date mailed. A simple majority of all valid ballots with the exception of decision requiring a higher majority as defined hereinafter. No voting is counted as „YES“.

j. The result and decisions made based upon the voting will be communicated by simple mail.
§8 Board of directors
a. The board of directors consists of the following persons:
The President of the board (1)
The Vice-President of the board (2)
The Treasurer (3)
The Secretary (4)
The Manager for Breeding (5)
The Manager for Press Releases (6)
The Manager for Sport Activity (7)
The Manager for Special affairs (8)

b. The board of directors will be elected for a period of two (2) years. Reelection is possible.

c. The board of directors must consist of at least five (5) members.

d. Board members can be entitled for double functions.

e. If a board member resigns during the regular period, replacement is possible by an existing member of the board, if regulation as defined under c. above will not be violated.

f. If the number of members of the board is less than five, an election for a new member of the board must take place within three (3) months.

g. The board of directors is responsible for all activity of the association based on the decisions made by the general assembly, based on the terms & conditions defined hereinafter and based on a business distribution plan.

h. The board represents the association in all public and legal affairs.

i. The president of the board will represent the association alone or by two members of the board.

j. The president is relieved from the definitions defined in the German laws book (BGB) 181.

k. The authority of the board of directors is terminated by the election of a successor.

l. If a member terminates its membership the position as member of the board is terminated simultaneously.

m. The board of directors has the right to establish committees for its own support.

n. All members of a committee are bound by rules and orders issued by the board of directors.

o. Legal activity initiated by a committee must be approved by the board of directors.
§9 Termination
The termination of the association requires a majority of two third (2/3) of all voting members. In case the association is terminated all its assets are to be handed over to a legal person of the public right or another institution with tax privileges with the intention of: - Promoting the sport primarily in the area of leisure or trail riding including training offerings for children and youths - the breeding of Missouri Fox Trotting Horses - the education of physically challenged children by therapeutic riding.
§10 Auditing
The general assembly elects two auditors.
